Justin QBO Bookkeeping Pilot End-User License Agreement

This End-User License Agreement (“Agreement”) governs access to and use of the Justin QBO Bookkeeping Pilot (the “Pilot”), operated by Calyx CPA LLC (“Calyx CPA,” “we,” “us,” or “our”). By authorizing or using the Pilot, the authorized user agrees to this Agreement.

1. Internal Pilot and Authorized User

The Pilot is a limited, internal evaluation of AI-assisted bookkeeping workflows. It is currently intended only for the QuickBooks Online company expressly connected by its authorized owner. It is not offered to Calyx CPA clients or the public under this Agreement.

The user represents that the user has authority to connect the selected QuickBooks Online company and permit the Pilot to access its data.

2. Limited License

Subject to this Agreement, Calyx CPA grants the authorized user a limited, revocable, non-exclusive, non-transferable license to use the Pilot solely for internal evaluation and authorized bookkeeping-related purposes. No right is granted to sublicense, resell, distribute, or make the Pilot available to another person or company.

3. Initial Read-Only Scope

The initial authorized scope is limited to establishing and testing a QuickBooks Online connection and reading supported company information, accounts, vendors, posted transactions, and financial reports.

Unless separately and expressly authorized after testing, the Pilot will not:

• create, modify, categorize, match, add, delete, or void transactions;
• create journal entries;
• modify the chart of accounts;
• perform monthly close procedures; or
• initiate autonomous bookkeeping actions.

The public QuickBooks Online Accounting API does not expose the Bank Transactions / For Review queue or its user-interface actions. The Pilot does not promise access to or control over that queue.

4. Credentials and Account Security

The user must personally complete Intuit sign-in, multifactor authentication, company selection, and OAuth consent. The user must not provide a QuickBooks username, password, multifactor code, client secret, access token, or refresh token through ordinary chat or email.

The user is responsible for promptly notifying Calyx CPA of suspected unauthorized access and for revoking the connection when access is no longer authorized.

5. Acceptable Use

The user may not:

• connect a company without proper authority;
• use the Pilot for unlawful, fraudulent, deceptive, or abusive activity;
• attempt to bypass security controls or access restrictions;
• use undocumented Intuit interfaces or credentials obtained without authorization;
• interfere with the Pilot, Intuit services, or another user’s systems or data; or
• use Pilot output as a substitute for required professional judgment or review.

6. Accounting Judgment and Review

The Pilot is an assistive tool. Its output may be incomplete or incorrect and must be evaluated in context. Historical treatment is evidence, not proof that an accounting treatment is correct. Judgment-sensitive matters, including owner activity, equity, loans, fixed assets, payroll adjustments, taxes, journal entries, prior-period changes, closed periods, unusual transactions, possible duplicates, and unclear transfers, require appropriate human review.

QuickBooks Online remains the accounting system of record. The Pilot does not provide legal advice and does not alter the responsibilities of the company owner or any accounting professional.

7. Third-Party Services

The Pilot depends on third-party services, including Intuit’s QuickBooks Online platform and Accounting API and authorized infrastructure or AI service providers. Those services are governed by their own terms and may change, become unavailable, impose limits, or require renewed authorization. Calyx CPA does not control third-party services.

8. Privacy

The Pilot’s handling of information is described in the Justin QBO Bookkeeping Pilot Privacy Policy. The Privacy Policy is incorporated into this Agreement by reference.

9. Ownership

Calyx CPA and its licensors retain all rights in the Pilot, its software, workflows, documentation, and related intellectual property. The connected company retains its rights in its accounting data. No ownership of company accounting data transfers to Calyx CPA by reason of this Agreement.

10. Suspension and Termination

Calyx CPA may suspend or terminate the Pilot for security, legal, compliance, operational, or misuse concerns. The authorized user may stop using the Pilot and revoke the QuickBooks Online connection at any time. Upon termination, access rights under this Agreement end immediately.

Sections that by their nature should survive termination, including privacy, ownership, disclaimers, limitations, and dispute-related terms, will survive.

11. Disclaimer

The Pilot is experimental and is provided on an “as is” and “as available” basis to the fullest extent permitted by law. Calyx CPA does not warrant that the Pilot will be uninterrupted, error-free, or suitable for any particular accounting, tax, legal, or compliance outcome.

12. Limitation of Liability

To the fullest extent permitted by law, Calyx CPA will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Pilot, including loss of data, revenue, profits, or business opportunity. This limitation does not apply where prohibited by law and does not limit obligations that cannot legally be limited.

Legal-review note: Before publication, Calyx CPA should decide whether to add a negotiated aggregate-liability cap and confirm that this section is appropriate for an internal owner-operated pilot.

13. Changes

Calyx CPA may update this Agreement as the Pilot changes. The effective date will be updated when revised terms are published. Material expansion beyond this internal pilot, including use for Calyx CPA clients, requires a separate operational, privacy, security, and legal review.

14. Governing Law

Legal-review placeholder: Confirm whether this Agreement should be governed by Oregon law and identify the appropriate venue before publication.
